Terms of Service
These Terms of Service ("Terms") govern your access to and use of ASEL Recruit OS (the "Service" or the "Platform"), a software product operated by ASEL Prestige Visuals, a business registered in the Netherlands under KVK number 96890983, with its principal place of business in Helmond, Netherlands (the "Operator", "we", "us", "our").
"ASEL Recruit OS" is a brand and product name owned and operated by ASEL Prestige Visuals. All references in these Terms to obligations of "ASEL", "we", or "us" refer to ASEL Prestige Visuals acting as the legal contracting party.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
ASEL Recruit OS is a software-as-a-service platform providing AI-native recruitment workflow automation for staffing and recruitment companies operating primarily in the European Union. The Service includes a CRM, AI-powered candidate matching, automated email and WhatsApp intake, eSign integration, analytics, and related features as described on our website.
2. Eligibility
- You must be at least 18 years old.
- You must be acting on behalf of a legally constituted business entity.
- You must have authority to bind that entity to these Terms.
- You must not be located in a country subject to a comprehensive EU or UN embargo.
3. Account
To use the Service, you must create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Notifying us immediately of any unauthorized access.
One account per natural person. Sharing accounts among multiple individuals is prohibited.
4. Acceptable Use
You agree NOT to:
- Use the Service for any unlawful purpose.
- Upload data you do not have the legal right to process.
- Reverse engineer, decompile, or attempt to extract source code.
- Use the Service to send unsolicited commercial communications (spam).
- Attempt to gain unauthorized access to other tenants' data.
- Process special category personal data (health, biometric, religious, sexual orientation) without proper legal basis under GDPR Article 9.
- Use the Service to make automated decisions producing legal effects on candidates without human review (GDPR Article 22 compliance).
5. Founding Access & Free Trial
Access to the Service is currently granted via the Founding Access program. Prospective customers apply via the website; ASEL approves applications based on operational fit.
- Founding spots are limited and subject to availability.
- Approved customers receive Founding pricing locked for life (see Section 6).
- A 14-day free trial is offered at ASEL's discretion to approved Founding applicants prior to first invoice. No credit card required at trial start.
- If no paid plan is activated within 14 days of trial expiry, the trial account is suspended; data is retained for 30 days, after which it is permanently deleted.
- Trial accounts do not benefit from SLA guarantees.
6. Pricing & Payment — Founding Access
During the founding phase, the Service is available under the following plans:
- Founding · Starter: €199/month + applicable VAT (1–2 users)
- Founding · Team: €400/month + applicable VAT (up to 5 users)
- Founding · Scale: €650/month + applicable VAT (up to 15 users)
- Enterprise: from €850/month + applicable VAT (custom user capacity, dedicated onboarding, SLA support, custom branding)
Founding pricing locked for life: customers onboarded during the founding phase retain their initial price tier for the lifetime of an uninterrupted subscription, regardless of future price increases. Founding spots are limited and subject to availability.
Billing entity: all invoices for the ASEL Recruit OS Service are issued by ASEL Prestige Visuals (KVK 96890983, Helmond, Netherlands).
- Billing: monthly in advance.
- Currency: EUR (€).
- Payment method: SEPA direct debit, bank transfer, or credit card.
- Late payment: interest accrues at 1.5% per month after 14 days from invoice date.
- Plan upgrades take effect immediately and are pro-rated. Plan downgrades take effect at the end of the current billing period.
7. Subscription Term & Cancellation
- Month-to-month subscription; cancellable at any time, effective end of current billing period.
- No refunds for partial months.
- Data export available for 30 days after cancellation in CSV format.
- After 30 days, all Customer Data is permanently deleted from our systems.
8. Data Ownership & Roles
- Customer owns all data uploaded to the Service ("Customer Data"), including candidate profiles, job postings, and company records.
- ASEL acts as Data Processor under GDPR; Customer is Data Controller.
- A Data Processing Agreement (DPA) compliant with GDPR Article 28 is automatically incorporated into these Terms. Customer may request a signed copy at any time.
- For account-level data (your account, billing, usage), ASEL is the Data Controller. See Privacy Policy.
9. Confidentiality
Both parties agree to keep confidential any information marked confidential or that a reasonable person would understand to be confidential. This obligation survives termination for 3 years.
10. Intellectual Property
- ASEL retains all rights to the Service, its underlying technology, AI models, prompts, and brand.
- Customer retains all rights to Customer Data.
- Feedback you provide may be used by ASEL to improve the Service without compensation or attribution.
11. Service Availability
- Target uptime: 99.5% monthly (excludes scheduled maintenance).
- Scheduled maintenance: announced at least 48 hours in advance via email.
- No SLA on free trial accounts.
- Force majeure events (cloud provider outages, internet failures, governmental actions) are excluded from uptime calculations.
12. Suspension & Termination
We may suspend or terminate access if:
- Payment is more than 30 days overdue.
- You materially breach these Terms (e.g., uploading unlawful data).
- Required by law, court order, or regulatory authority.
- We provide 30 days' written notice for termination for convenience.
You may terminate at any time via the Settings page or by emailing hello@aselrecruitos.com.
13. Limitation of Liability
To the maximum extent permitted by applicable law:
- ASEL's total liability under these Terms is capped at the amount you paid in the 12 months prior to the claim.
- ASEL is not liable for indirect, consequential, incidental, or punitive damages, including lost profits, lost data, or business interruption.
- Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct.
- Nothing limits statutory consumer rights where applicable under EU law.
14. Indemnification
You agree to indemnify and hold ASEL harmless from claims, damages, and expenses arising from your misuse of the Service, breach of these Terms, or violation of third-party rights (including data subject rights under GDPR).
15. AI & Automated Decision-Making
- The Service uses AI to assist with candidate matching, scoring, and workflow automation.
- Customer agrees to provide meaningful human review for any decision producing legal or similarly significant effects on candidates (GDPR Article 22).
- ASEL does not use Customer Data to train foundation models. Third-party AI providers (e.g., OpenAI) are bound by zero-retention data processing agreements where applicable.
16. Changes to Terms
We may update these Terms by posting an updated version on our website. Material changes will be notified 30 days in advance via email to the address registered with your account. Continued use after the effective date constitutes acceptance.
17. Governing Law & Jurisdiction
- Governing law: Dutch law, excluding conflict-of-law rules.
- Exclusive jurisdiction: Courts of 's-Hertogenbosch, Netherlands, except where mandatory consumer protection law provides otherwise.
- UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
